Corporate/Tax

The Corporate/Tax Department is devoted to helping clients achieve their business objectives in a timely and efficient manner. The Corporate/Tax Department is prepared to assist and advise in virtually every phase of growth, from forming a new business to taking a private company public. The Firm deals with a diversity of proprietary rights including licensing and franchising agreements, the establishment, maintenance and

financing of large and small corporations, the corporate mergers and acquisitions, partnership agreements and employee compensation and pension matters.

Commercial Litigation

The Firm's Commercial Litigation Department handles the broadest range of legal issues of any of the Firm's departments. In addition to providing consultation, research and litigation support to other lawyers in the Firm and their clients, the Commercial Litigation Department regularly represents clients in the following areas:

n Real Estate: In disputes arising from the purchase or sale, leasing or management of real property; title defects; boundary disputes; easements (express, prescriptive and "of necessity"); mortgage disputes, foreclosures and loan workouts.

n Governmental/Land Use: We represent landowners, local governments and affected third parties in disputes arising from Comprehensive Planning, traffic concurrency, zoning, platting, site planning, code enforcement and the operation of governmental agencies.

n Business Entities: We represent corporations, partnerships (both general and limited) and limited liability companies as well as shareholders, partners and members of those entities in disputes arising from the formation, capitalization and operation of the entity; in corporate, partnership or limited liability company buy-out agreements; trade secrets; minority ownership rights; and the enforcement and defense of non-competition agreements.

n Miscellaneous: We also represent parties in claims under the Florida Unfair Deceptive Trade Practice Act; business torts; civil theft; civil RICO claims; fraudulent conveyances; and, accounting and legal malpractice.

Estate Planning/Probate/Guardianship

To assist a client in achieving long-term financial objectives, the Firm offers comprehensive estate planning. An individualized estate plan is created to achieve maximum tax savings for the client in accordance with personal goals for distribution of assets to family members or other beneficiaries. Upon the death of a client, the Firm serves as attorneys for the personal representative for the estate, overseeing the administration of the estate and proper distribution of assets. The Firm's attorneys have successfully planned and administered estates and guardianships of all sizes, including those with assets up to $75 million.

Real Estate/Land Use/Governmental

Real Estate continues to be one of the Firm�s major areas of practice. Its representation extends from the individual acquiring a first home to major national, state and local developers of residential and commercial projects. The Firm�s highly experienced attorneys specialize in negotiating both residential and complex commercial transactions. Relying on thorough research and intimate knowledge of all pertinent regulations, the Firm's attorneys have represented clients before a wide variety of governmental bodies and administrative agencies, in matters including rezoning, special exceptions, variances, subdivisional approvals, comprehensive plan amendments, developments of regional impact, binding letters and planned unit developments.

Construction Litigation

The Firm's Construction Department is the largest based in Palm Beach County dedicated to the field of contractor, designer and public and private developer representation. Each of the attorneys functioning within the Firm's Construction Department has been involved in the representation of contract negotiations, delay claims, defect claims and litigation of construction and design related disputes within the construction industry. Our attorneys have lectured on the subjects of design responsibility, condominium use, delay analysis, defect claims and contract evaluation throughout the State of Florida, and have significant experience and expertise in the management of such claims. All Partners within the department have received an AV rating from the Martindale-Hubbell directory (highest ranking).

Securities Litigation

The Firm�s Securities Department is dedicated to the representation of national and local brokerage firms and individual stockbrokers in regulatory matters, litigation in state and federal courts, and in arbitrations before the National Association of Securities Dealers, the New York Stock Exchange, and other regulatory bodies. The attorneys in the securities litigation group focus on the defense of brokerage firms and their employees in actions brought by customers and former customers relating to transactions in their brokerage accounts. They are also involved in the prosecution and defense of employment related claims including recruitment, raiding, wrongful termination, and employment contract cases.
